Celkura Terms of Use

1. Introduction and Acceptance

These Terms of Use (“Terms”) govern your access to and use of the Celkura website, currently located at celkura.com or a related domain, and, in the future, the Celkura mobile application (together, the “Service”), operated by Celkura (“Celkura,” “we,” “us,” or “our”).

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

Celkura is based in Australia. These Terms may be updated to reflect a change in business structure; any such change will be reflected in an updated version of these Terms.

Please also read our Privacy Policy, which explains how we collect, use, and protect your personal information and forms part of these Terms by reference.

2. Eligibility

The Service is not intended for, and must not be used by, individuals under the age of 18. By using the Service, you confirm that you are at least 18 years old and capable of forming a binding contract with Celkura.

3. The Service

Celkura is an online application that allows you to catalogue, track, and manage records and related information about items in your personal collection, including features such as image and document recognition, timing guidance derived from your records, and a record-keeping feature that allows you to upload supporting documents relating to the ownership and purchase history of those items.

The Service is currently provided via a website, with a mobile application planned for future release. These Terms will apply to the mobile application once it becomes available.

We may add, change, suspend, or remove features of the Service at any time, and we may offer some features only to certain account tiers (see Section 6).

4. Accounts

4.1 Registration

To use most features of the Service, you must create an account by providing at least a valid email address. You are responsible for providing accurate information and keeping your account details up to date.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly at support@celkura.com if you become aware of any unauthorized access to or use of your account.

4.3 Account Deletion

You may delete your account and associated data at any time using the self-service deletion feature within the Service. Deleting your account will remove your data in accordance with our Privacy Policy.

We may suspend or terminate your account in accordance with Section 10.

5. Acceptable Use

You agree not to, and not to attempt to:

  • use the Service for any unlawful purpose, or in a way that infringes the rights of any third party;
  • scrape, crawl, harvest, or use automated means (including bots or scripts) to access, extract data from, or interact with the Service, except through any interface we expressly provide for that purpose;
  • reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, or structure of the Service, except to the extent this restriction is prohibited by law;
  • interfere with, disrupt, or place undue load on the Service or the infrastructure used to provide it, including through denial-of-service attacks or similar conduct;
  • attempt to circumvent, disable, or otherwise interfere with security-related features of the Service, including rate limiting, authentication, or access controls;
  • upload, transmit, or store any content that is unlawful, defamatory, fraudulent, or that infringes the intellectual property, privacy, or other rights of any third party;
  • upload any file containing malicious code, viruses, or anything designed to disrupt, damage, or gain unauthorized access to the Service or any system;
  • create multiple accounts to abuse free-tier limits, promotions, or other features of the Service; or
  • impersonate any person or entity, or misrepresent your affiliation with any person or entity.

We reserve the right to investigate suspected violations of this Section and to take action in accordance with Section 10, including suspending or terminating accounts involved.

6. Subscriptions and Billing

6.1 Free and Paid Tiers

Celkura currently offers a free tier of the Service. We also offer, or intend to offer, a paid annual subscription tier (“Paid Subscription”) that provides access to additional features. Features included in each tier may change from time to time; we will take reasonable steps to notify you of material changes affecting a tier you are subscribed to.

6.2 Payment

If you purchase a Paid Subscription, you agree to pay the subscription fee displayed to you at the time of purchase. Payments are processed by our third-party payment processor (currently Stripe). By providing payment details, you authorize us, through our payment processor, to charge the applicable fee to your chosen payment method.

Prices may include or exclude taxes such as GST or VAT depending on your location; where applicable, taxes will be calculated and added at checkout.

6.3 Auto-Renewal

Unless you cancel before the end of your current subscription term, your Paid Subscription will automatically renew for a further annual term at the then-current price, and your payment method will be charged accordingly. We will provide reasonable advance notice by email before a renewal charge is made, where required by applicable law.

You can cancel auto-renewal at any time via your account settings or by contacting support@celkura.com. Cancellation will take effect at the end of your current paid term; you will retain access to Paid Subscription features until that date.

6.4 Refunds

Subscription fees are non-refundable once charged, except where a refund, credit, or other remedy is required under applicable law, including the consumer guarantees under the Australian Consumer Law, which cannot be excluded. Nothing in these Terms limits any rights you may have under such laws.

6.5 EU Right of Withdrawal

If you are a consumer located in the European Union, you have a statutory right to withdraw from your purchase of a Paid Subscription within 14 days of the date of purchase, without giving any reason, in accordance with the EU Consumer Rights Directive. To exercise this right, contact us at support@celkura.com within the 14-day period.

If you expressly request that we begin providing the Paid Subscription features immediately (i.e., before the 14-day withdrawal period ends) and acknowledge that you thereby lose your right of withdrawal once the Service has been fully performed, your right of withdrawal will end once we have fully provided the Paid Subscription features. Where the Service has only been partially performed at the time you withdraw, we may deduct an amount proportionate to what has been supplied up to the date you told us you wished to withdraw, and refund the balance within 14 days of being notified of your withdrawal.

This Section 6.5 applies in addition to, and does not limit, any rights you may have under Section 6.4.

6.6 Price Changes

We may change the price of a Paid Subscription from time to time. Any price change will not affect a term you have already paid for, and we will provide reasonable notice before a price change takes effect on renewal. If you do not agree to a price change, you may cancel your subscription before it renews at the new price.

7. User Content

7.1 Your Content

User Content” means any information, data, images, documents, or other materials you upload, submit, or provide through the Service, including item records, photos, and supporting documents (such as invoices, receipts, or certificates).

As between you and Celkura, you retain all ownership rights in your User Content.

7.2 License to Celkura

By submitting User Content, you grant Celkura a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and process your User Content solely for the purposes of operating, providing, maintaining, and improving the Service for you, including using automated tools (such as optical character recognition or AI/vision models) to help identify items from images, extract relevant information, or match your content against Celkura's reference database, as described in Section 8. This license ends when you delete the relevant content or your account, except to the extent retention is required by law or as described in our Privacy Policy.

7.3 Your Responsibilities

You are solely responsible for the User Content you upload, including ensuring you have the right to upload it and that it does not infringe the rights of any third party or contain unlawful material. Uploaded documents (such as invoices) may incidentally contain personal information about you or third parties; you are responsible for redacting information you do not wish to share, consistent with our Privacy Policy.

We do not routinely review User Content before it is stored, but we may remove or disable access to User Content that we reasonably believe violates these Terms or applicable law.

8. Automated Processing and AI Features

Celkura may use automated tools, including optical character recognition (OCR) and AI/vision models, to process images and documents you upload — for example, to help recognize items from images, extract relevant details, or match your content against Celkura's own reference database (with third-party reference data used as a fallback where applicable). Output from these tools is provided to assist you and may not always be accurate; you should verify important details yourself.

We do not use your User Content to train third-party AI models, and any use of automated processing tools is limited to providing and improving the Service, consistent with our Privacy Policy.

9. Intellectual Property

Other than User Content, all rights, title, and interest in and to the Service — including the Celkura name, logo, software, design, database structure, reference database and cataloguing data, and all associated intellectual property — are owned by Celkura or its licensors. Nothing in these Terms grants you any right or license to use Celkura's trademarks, logos, or branding without our prior written consent.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.

10. Suspension and Termination

We may suspend or terminate your access to the Service, in whole or in part, at any time if:

  • you breach these Terms, including the Acceptable Use provisions in Section 5;
  • we reasonably believe your use of the Service poses a security, legal, or fraud risk to Celkura, other users, or any third party; or
  • we are required to do so by law.

Where reasonably practicable, we will provide notice before suspending or terminating your account for a non-urgent reason. You may stop using the Service and delete your account at any time as described in Section 4.3.

On termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 7.3, 9, 11, 12, and 13) will continue to apply.

11. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Celkura makes no warranties, express or implied, regarding the Service, including as to accuracy, reliability, availability, or fitness for a particular purpose. In particular, information generated by automated tools such as OCR or AI matching (see Section 8) is provided for convenience and may contain errors; Celkura does not guarantee its accuracy.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you under the Australian Consumer Law or other applicable law that cannot lawfully be excluded.

12. Limitation of Liability

To the maximum extent permitted by law, and subject to Section 11, Celkura's total liability to you arising out of or in connection with the Service, whether in contract, tort (including negligence), or otherwise, is limited, at Celkura's option, to either (a) re-supplying the relevant part of the Service, or (b) refunding the fees you paid for the relevant Paid Subscription term giving rise to the claim.

To the maximum extent permitted by law, Celkura is not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising out of or in connection with your use of the Service, including loss or corruption of your records or uploaded documents. You are responsible for maintaining your own backups of any critical information you store using the Service.

13. Governing Law

These Terms are governed by the laws of the State of Victoria, Australia. You and Celkura submit to the non-exclusive jurisdiction of the courts of Victoria, Australia, and any courts entitled to hear appeals from those courts, in relation to any dispute arising out of or in connection with these Terms or the Service.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in the Service, our business, or legal requirements. We will post the updated Terms on the Service with a revised “Last updated” date. Where changes are material, we will take reasonable steps to notify you, such as by email or a notice on the Service, before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
